July 11, 2006 To: Manitex Dealers Re: Merger With Veri-Tek I am pleased to relay the merger with Veri-Tek has been completed. A copy of the Veri-Tek press release is included for your reference. This merger and the associated access to capital markets will provide working capital to continue to fuel and accelerate the significant growth Manitex has experienced over the last two plus years. As Manitex enters this new chapter, product development and continuously improving aftermarket support will prove to be the focus. No significant operational changes will be evidenced. What should be expected is an even more responsive and capable Manitex.
